Company Terms and Conditions

A genuine business should have its
own Company Terms and Conditions. These should be
effective standard terms sent with a company brochure
(CV) to potential clients or agencies setting out
the terms upon which your company intends to provide
its services. Properly drafted terms can significantly
assist with IR35 status and can be incorporated
into the final contract.
Director Service Agreement(
£120 + VAT)
The contract between the company
and the fee-earning director is a 'relevant contract'
in determining IR35 deemed employment status. This
document sets out the rights, duties, obligations
and liabilities of the director of the company.
As a genuine independent business it is important
to adopt a proper approach towards compliance with
company and legal formalities.
Employment Contract (£60
+ VAT)
Formal contracts with other employees
such as the company secretary or administrative
assistant also indicate a genuine business, and
can also protect your company from potential liabilities.
Shareholder Agreement (£60
+ VAT)
If there is more than one shareholder
then it is good business sense to have a shareholder
agreement that sets out the rights and responsibilities
of the shareholders. This document also indicates
a genuine business operation.
