Lawspeed offers a quick and easy way for anyone to form a company. All our communications with Companies House are done electronically so are effectively instant. Incorporation is usually finalised the next working day, or sometimes if submitted during a working morning they are formed that same afternoon. We can notify your agency direct if you wish. We have also developed partnerships with a large number of accountants across the UK, so we can help you choose an accountant that suits your specific needs. If you are unsure as to whether to form your own company or join an
umbrella or composite organisation please be aware of the advantages and
disadvantages.
Frequently Asked Questions

Q. |
Should I form my own company? My agency has recommended I use an umbrella organisation. |
| A. | Joining an umbrella scheme can be a simple way forward but such schemes are not for everyone. Unlike running your own company you cannot control management, you are subject to risk in that if the umbrella does not perform you may not receive your money and your scope for setting off expenses may be substantially limited. It will be very difficult for you to establish that your status is outside IR35. Against that you have little responsibility and your payments and accounts are organised for you. This last benefit can often be obtained from your own independent accountant at low cost.

| Q. | Can I choose any name I want for my company? |
| A. | Companies formed using our system are not ‘off-the-shelf’ companies, they are formed specifically for you, so you can choose your own name if it is available. We can perform company name checks for you, alternatively go to the Companies House search facility Mon-Sat 7am to Midnight. It is important to check that the name you want is acceptable to Companies House.
It is also important to check whether your chosen name is similar to any other names already on the register. If your chosen name is too like another name, an objection could be made within the 12 months following the incorporation of your company and you could be directed by the Secretary of State to change the company’s name. Certain words and phrases are classed as sensitive by the Department of Trade and Industry. If this is the case you will be prohibited from using them or you might have to justify you are entitled to use the name. For more information on this subject contact Companies House directly.

| Q. | Does Lawspeed provide First Minutes? |
| A. | Companies formed using our system are formed with the correct officers and subscribers (shareholders) from incorporation. This means that there is no need for the commonly referred to "First Meeting" to resign the nominee officers. This also saves time when opening a bank account as it will always be the correct officer details displayed on a company search by the bank.
|
| Q. | Does Lawspeed provide share transfer forms? |
| A. | Companies formed using our system are formed with the correct shareholders from incorporation, so there is no need for initial share transfer forms. Importantly, this also means there is no need to pay stamp duty on the transfer of any shares either. However, we can provide Form 88(2), should you wish to issue any further shares in your company after incorporation.
|
| Q. | What if Companies House rejects my application? |
| A. | If Companies House rejects your application we will email you informing you of this. You can then contact us to make the necessary modification to your application and resubmit your forms back to Companies House. This must be done within 3 days as Companies House removes the process for a failed application after 3 days. If you decide not to re-submit a failed application after 3 days then we will cancel the application. |

| Section 660A of the Income and Corporation taxes Act 1988, also known as the "settlements legislation", is a little-known tax rule which the Inland Revenue has recently relied upon to attack the payment of dividends in family businesses. Lawspeed will conduct a thorough Risk Analysis with a comprehensive report and advice as to your exposure to s660 and what can be done to minimise the likelihood of an attack. | ||
