Description

This version of a Web Design Contract (in effect a website development agreement) is a business-to-business agreement for a client seeking a web designer to provide website design and building services. The contract comprehensively covers legal aspects involved in supplying this type of Internet service. The client will have a definite advantage in using this agreement in place of a website designer's own terms and conditions.


Summary

The agreement permits the client to define the range of services, specifications and timeframes. These will be separately drafted between the parties and included in annexes to the document. The designer's obligations include uploading and are tied to the requirements of these specifications.

Fee payments are covered and may be made by instalments. Copyright material created for the web site will be owned, and site content controlled, by the client. The contract will ensure the correct licenses for use of the site will be granted.

Provisions are made as to the designer’s staffing for the project and maintaining necessary levels for proper performance of contract obligations.

Should any changes be required to the specification, terms exist for a set procedure. This will give a controlled mechanism for changes in delivery requirements and provide certainty in overall cost terms. Delivery may only be agreed to have occurred after full testing by the client and specific criteria are laid down for this process in order to protect the client.

Warranties are given by the designer as to standards of services performed and intellectual property usage as well as indemnities regarding contract performance.

Termination provisions permit the agreement to be ended for any material breach or if the designer’s performance may be affected by its own business problems.

Terms relating to the Data Protection Act 1998 are included.

In the event of any dispute with the designer, mediation can be used as a possibly more cost effective resolution method.
